PTCL Submits Merger Proposal For Telenor Pakistan And Ufone To PTA

Pakistan Telecommunication Company Limited has formally approached the Pakistan Telecommunication Authority seeking approval for the merger of Telenor Pakistan and Ufone, initiating what could become one of the most consequential consolidations in Pakistan's telecom sector.

According to official sources, the PTA is expected to complete its review within one and a half to two months. The regulator will examine the proposed business plan, network infrastructure, tower assets and operational arrangements before deciding on the consolidation of licences and spectrum holdings.

If clearance is granted, the matter will proceed to the Securities and Exchange Commission of Pakistan for Corporate approval. Thereafter, PTCL must secure final endorsement of the Scheme of Arrangement from the relevant court, a compulsory legal step before completion.

Sources indicated that the full regulatory and judicial process may take five to six months.

The move follows PTCL Group's recent acquisition of Telenor Pakistan and Orion, marking a significant phase in telecom restructuring. The proposed integration aims to combine Telenor Pakistan's operations with Ufone's established infrastructure and subscriber base, reinforcing PTCL Group's position in the mobile communications market.

Industry observers suggest the consolidation could yield operational efficiencies, broader network reach and expanded service portfolios. At the same time, it may reshape competitive dynamics among remaining operators.

The PTA's assessment will focus on market concentration, spectrum distribution and consumer impact, ensuring that the transaction aligns with regulatory standards and competition principles within Pakistan's telecommunications industry.
